Terms of Service

These Terms of Service ("Terms") govern your access to and use of AuthorAds, including:

  • https://authorads.io
  • https://app.authorads.io
  • the AuthorAds web application, public website, support channels, and related services

This website and the AuthorAds service are wholly owned and operated by The 360 Company (Pty) Ltd. (Registration No. 2022/640071/07), doing business as AuthorAds ("Company," "we," "us," or "our").

If you do not agree to these Terms, do not use AuthorAds.

2. Acceptance of These Terms

You accept these Terms by:

  • accessing or using the public site;
  • creating an account;
  • uploading data, connecting services, or using the app; or
  • clicking to accept, subscribe, or continue where AuthorAds presents these Terms.

If you use AuthorAds on behalf of a business, publisher, or other organization, you represent that you have authority to bind that entity to these Terms.

3. Eligibility

You must be at least the age of majority where you live and legally able to enter into a binding contract to use AuthorAds. If applicable law requires a higher minimum age for business tools or online contracts, that higher age applies.

4. What AuthorAds Is

AuthorAds is a SaaS product built for self-publishers, publishers, and related teams to:

  • import or sync Amazon Ads reporting data;
  • combine ad performance information with royalty and break-even ACOS context;
  • generate analytics, performance views, and recommendations;
  • support user decision-making about campaigns, books, targets, search terms, placements, and related workflows.

AuthorAds is not:

  • an Amazon product;
  • endorsed by Amazon unless expressly stated in writing;
  • a broker, financial adviser, legal adviser, or tax adviser; or
  • a guarantee of commercial outcomes, profit, ranking, or ad performance.

Unless we clearly launch a feature that says otherwise, AuthorAds does not automatically place, pause, edit, or bid on your campaigns.

5. Accounts

You are responsible for:

  • keeping your login credentials secure;
  • maintaining accurate account information;
  • restricting access to your account and connected services;
  • all activity that occurs under your account, except to the extent caused by our breach.

You must notify us promptly at hello@authorads.io if you believe your account has been compromised.

6. Connected Services

AuthorAds may allow you to connect Amazon Ads or other third-party services.

When you connect a third-party service:

  • you authorize us to access and process the information needed to provide the feature you requested;
  • you represent that you have authority to connect that account and share the related data with us;
  • your use of that third-party service remains subject to that provider's terms, policies, permissions, and technical limits;
  • we are not responsible for downtime, API changes, revoked permissions, account suspensions, or other actions taken by the third party.

We may suspend or remove a third-party integration if it becomes unavailable, insecure, unlawful, commercially impractical, or inconsistent with our agreements with the provider.

7. Customer Data

As between you and us, you retain your rights in the data, files, and content you submit to AuthorAds ("Customer Data"), subject to the rights you grant in these Terms.

You grant us a limited, non-exclusive right to host, store, reproduce, transmit, normalize, analyze, back up, and otherwise process Customer Data as necessary to:

  • provide and secure the service;
  • generate the outputs and workflows you request;
  • troubleshoot, maintain, and improve AuthorAds;
  • comply with law and enforce these Terms.

You are responsible for ensuring that your Customer Data, uploads, and connected-account use:

  • do not violate any law or third-party rights;
  • do not breach Amazon Ads or other platform rules;
  • do not include malicious code, unlawful material, or prohibited content;
  • are accurate enough for the purposes for which you use AuthorAds.

We may also use aggregated or de-identified information that does not reasonably identify you to improve the service, benchmark performance, develop product features, and support internal analytics.

8. Acceptable Use

You may not:

  • use AuthorAds unlawfully or in violation of third-party platform rules;
  • reverse engineer, copy, scrape, or exploit AuthorAds except as allowed by law;
  • interfere with the service, overload infrastructure, or attempt unauthorized access;
  • bypass plan restrictions, account limits, entitlement checks, or security controls;
  • upload malicious code, harmful files, or unlawful material;
  • use AuthorAds to infringe intellectual property, privacy, or confidentiality rights;
  • impersonate another person or misrepresent affiliation or authority;
  • use the service to build or train a competing product through unauthorized extraction or automated collection.

We may monitor, investigate, suspend, or terminate access where reasonably necessary to enforce these Terms, protect users, or maintain service integrity.

9. Subscriptions, Fees, and Renewals

AuthorAds may offer free plans, paid plans, trials, usage limits, or add-on features.

If you subscribe to a paid plan:

  • pricing, billing interval, included features, and plan limits will be shown at checkout or in the order flow;
  • you authorize us or our payment processor to charge the selected payment method for recurring fees, taxes, and any agreed add-ons;
  • subscriptions may renew automatically until canceled if offered on an auto-renewing basis;
  • cancellation timing, renewal timing, and downgrade effects will be disclosed in the signup, billing, or account flow;
  • fees are generally non-refundable except where required by law or where we expressly state otherwise.

If a trial, promotional period, or introductory price is offered, the applicable conversion date, renewal terms, and post-trial pricing should be shown before you subscribe.

We may change pricing, packaging, or plan structure prospectively. If we do, we will provide notice where required by law.

If payment fails, we may retry the charge, suspend paid features, downgrade the account, or terminate access after notice where appropriate.

10. Billing Disclosures and Consumer Subscription Laws

Where automatic renewal or continuous service laws apply, we intend the live checkout and billing flows to provide the disclosures, acknowledgments, and cancellation information required by applicable law.

Nothing in these Terms limits any mandatory consumer cancellation, cooling-off, refund, or renewal rights that apply to you under law.

11. Intellectual Property

We and our licensors own AuthorAds, including the software, design, branding, content, databases, interfaces, and all related intellectual property rights, except for Customer Data and third-party materials.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use AuthorAds for your internal business or personal author/publisher use during the applicable subscription term.

You may not use our trademarks, branding, product name, or marketing assets without prior written permission, except to refer accurately to AuthorAds as a product you use.

12. Feedback

If you send us suggestions, comments, ideas, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any lawful purpose without compensation or attribution to you.

13. Beta, Early Access, and Preview Features

Some features may be marked as beta, preview, pilot, or early access. Those features may be incomplete, change materially, or be withdrawn at any time.

Unless required by law, beta or preview features may be offered "as is" with reduced support and without uptime commitments.

14. Availability, Maintenance, and Changes

We may:

  • modify the service and its features;
  • impose or change reasonable usage limits;
  • perform maintenance, upgrades, patches, and security changes;
  • suspend access to protect the service or comply with law;
  • discontinue some or all of AuthorAds with reasonable notice where practical.

We do not guarantee uninterrupted availability, compatibility with every browser or device, or continued availability of any particular integration.

15. Data Accuracy and Outputs

AuthorAds depends in part on:

  • data you upload;
  • third-party platform data and APIs;
  • your chosen settings and assumptions;
  • the timing and completeness of available report data.

Because of this:

  • analytics, recommendations, and calculations may be incomplete, delayed, or inaccurate;
  • you remain responsible for reviewing decisions before acting on them;
  • we do not guarantee that any recommendation will improve campaign performance or financial results.

16. Suspension and Termination

You may stop using AuthorAds at any time. If a paid subscription exists, cancellation will take effect as described in the live billing flow or applicable law.

We may suspend or terminate your access if:

  • you materially breach these Terms;
  • payment is overdue;
  • your use creates legal, security, or operational risk;
  • a third-party integration necessary for the service is revoked or restricted;
  • we are required to do so by law.

Where appropriate, we may first give you notice and an opportunity to cure.

17. Effect of Termination

Upon termination or expiration:

  • your right to use AuthorAds ends;
  • some data may remain in backups, logs, or legally required records for a limited period;
  • we may delete or de-identify Customer Data in accordance with our retention practices and agreements;
  • provisions that by their nature should survive will survive, including those on fees owed, intellectual property, disclaimers, limits of liability, disputes, and indemnity.

18. Warranties Disclaimer

To the maximum extent permitted by law, AuthorAds is provided on an "as is" and "as available" basis.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.

We do not warrant that:

  • the service will be uninterrupted, error-free, or fully secure;
  • any integration will remain available;
  • any analysis or recommendation will be accurate in every case;
  • use of the service will produce any specific publishing, advertising, or financial outcome.

19. Limitation of Liability

To the maximum extent permitted by law:

  • we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or procurement of substitute services;
  • our total aggregate liability arising out of or related to AuthorAds and these Terms will not exceed the greater of:
    • the amount you paid us for AuthorAds in the 12 months before the event giving rise to the claim; or
    • US$100.

These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose, but they do not limit liability that cannot be limited under applicable law.

20. Indemnity

You will indemnify and hold harmless The 360 Company (Pty) Ltd and its directors, officers, employees, and contractors from third-party claims, losses, liabilities, and expenses arising out of:

  • your Customer Data;
  • your misuse of AuthorAds;
  • your violation of these Terms;
  • your violation of law or third-party rights;
  • your unauthorized connection or use of third-party accounts.

21. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa, excluding conflict-of-law rules, unless mandatory consumer law in your jurisdiction requires otherwise.

Before filing a formal claim, both sides agree to try to resolve the dispute in good faith by contacting the other party first.

Subject to any non-waivable rights you have under applicable law, disputes that cannot be resolved informally will be submitted to the courts of South Africa.

22. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above and may provide additional notice where required by law.

If you continue using AuthorAds after revised Terms become effective, that continued use constitutes acceptance of the updated Terms.

23. Entire Agreement

These Terms, together with any incorporated policies, order forms, checkout terms, billing terms, or data processing addenda that apply to your use, form the entire agreement between you and us regarding AuthorAds, unless a separate written agreement signed by both parties controls.

24. Security Reporting

If you spot a security issue, privacy concern, or suspected misuse of AuthorAds or Amazon Ads-connected data, email hello@authorads.io with the subject line Security Report. Please include the affected page or workflow, when you noticed the issue, and any supporting details or screenshots that may help us review it.

We review reports, investigate them, and follow up as appropriate. Reports involving Amazon Ads-connected information are handled under our internal security process, including any additional escalation or notification steps required by our Amazon Ads partner obligations.
